circular resolution: change within duties of the board

Because of the current situation within the board and the legal circumstances (that do not allow board members that were appointed later to have a voting right on board meetings) we stumbled upon a blur on our statement of duties.

When we appoint 2 board members later (meaning replacement of resigned board members) we have 5 members in charge but only 3 with a vote. Thus a meeting with only one member with a vote and 2 members "only" in charge, this meeting would have a quorum.

To avoid this, I request the following:

The current text on the statement of duties Nr. 2.3.1 Quorum Sentence 1 reads the following:

The board is quorate when more than 50% of the sitting board members are present.

and should be changed to:

The board is quorate when more than 50% of the board members with voting right are present.

Replacement of the Vice President

proposed by Moira

On Tuesday 5. July our current vice-president resigned As disscussed and decided in the last board meeting and the weekly telco of the members before the inactive and resigned board members will be replaced. There was also the question if replaced board members have voting rights within the board? Marc Schäfer, our lawer, told us, that per default replaced board members have no voting rights if it is not defined other in the statuts. In our status is nothing defined about it. As a replacement candidate for vice president Cassandra Ruppen, ZH, PSS is available and was nominated. Additionally we should define that replaced board members have the same rights as elected board members except the right to vote, which would violate the general assemblys exclusive right to appoint board members.

• Cassandra: I think that the projects of the pwb are covering the mind-set of the pirate party and also mine. I^m very motivated to force project like the pirate acadaemy as I think that such projects are very important to enable education for everyone.

• Cassandra I'm since the beginning of the year member of the swiss pirate party, but other political expierience I don't have.

VARIA

Pirate Academy structural documentation and development concept

I will create a concept for pirate academy. I will try to describe it in UML use cases and also in a text version. So we can work out what we need for realisation of pirate academies and how the Pirate Academy should be structured and organised.
